AstraVille Membership Program Terms & Conditions

Welcome to AstraVille membership program! Thanks for the sign-up.

These following terms & conditions apply to individuals who sign-up to become the member of AstraVille program.

  1. Definitions

Company’ – Astra Baby Sdn. Bhd., who operates the Astra Family e-commerce platform, community member named AstraVille (“we”, “merchant” or “the company”).

Incentive’ – a percentage of revenue generated during the transaction (transaction commission) by direct referral members or indirect referral members referred by the members.

Intellectual Property Rights’ shall mean copyright rights, trademark rights, patent rights, trade secrets, moral rights, right of publicity, authors’ rights, contract and licensing rights, goodwill and all other intellectual property rights as may exist now and/or hereafter come into existence and all renewals and extensions thereof.

Member’ – The individual sign-up to or participating in the membership program, use product and service from the Astra Baby Sdn. Bhd. (also refer as “you” or “member”).

‘Personal Data’ – means any information or pieces of information that could identify you either directly (e.g. your name) or indirectly (e.g. through pseudonymized data such as a unique ID number) and / or information which makes you identifiable. It could also, in certain circumstances, include unique numerical identifiers like your computer’s IP address or your mobile device’s media access control address – MAC address, as well as cookies.

Program’ – AstraVille Membership Program, which allows the website, Astrafamily.co and its subdomain to be referred via a Referral Link.

Qualified Lead’ shall refer to each new customer referred by the member for the purchase of Company’s services from Company. This can be a direct referral or indirect referral.

Referral Link’ is the URL that allows a company to promote their products or web content.

Terms and Conditions’ or ‘Terms’ – the AstraVille member Program’s Terms and Conditions which govern the principles of participation in the Program and of using the Program by Member.

Website’ – The astrafamily.co website – https://astrafamily.co

  1. Joining the AstraVille Membership Program

We reserve the right to approve or to reject any member sign-up in our sole and absolute discretion.

No. of membership is limited to one per person. In any circumstances that we discovered any duplication of membership, we will have the right to suspend the duplication of membership accounts.

  1. Promotion tools

We may share promotion media such as banner, logo or specific collection promotion to you through Creative tools tab on member dashboard. You can download the media or get the HTML embed code in order to share on your channels. Logos and other assets cannot be modified.

  1. Member links for sharing and promotion

Member link is automatically generated, but you can also generate a member link to optimize your links by changing the slugs to something shorter and more descriptive.

Member may share & promote merchant website on online channels such as Facebook, Instagram, Tiktok, WhatsApp, Telegram and all legitimate platform or offline classified channel ads, magazines, and newspapers.

Member shall be solely responsible for promoting Advertising Materials on the member media. Subject to the rights of the Company under this Agreement and all applicable laws, as well as to the company’s absolute right to direct the use of, suspend or terminate the use of Advertising Materials and of this Agreement.

While the member shall be free to decide whether and how long to place the Advertising Materials on the member’s media, approval may be withdrawn from any member’s media at any time and for any reason or no reason, without penalty to the Company.

  1. Incentive and Payment

Refer any customer to make a purchase on our website, you will get an incentive amount for each qualified lead, which is calculated based on incentive structure. Incentive amount is dependent on order value after all discounts and not including extra fee (tax, shipping cost,etc.). Incentive will only be recorded after refund period stated in the Member Guide page to ensure the exact purchase value is captured.

Incentive will only be sent for transactions that have been successfully completed where sales that are made when the customer clicks through qualified, correctly structured member links. Properly coded links are the sole responsibility of the member.

Transactions that result in chargebacks or refunds will not be paid out. Chargeback: Sales which are not eligible for Incentive including, but not limited to: fraudulent & invalid transactions (including transactions identified manually or by way of automated fraudulent order check tools); cancelled transactions; and returned orders.

The incentive structure can be modified at any time by adding additional points of incentive to selected member, in order to incentivize best practices and reward outstanding results.

For a member to receive an incentive, you need to specify the payment details on Settings. Incentive structure and payment schedule can be found on Member Guide page.

The member shall be responsible for payment of all taxes on its own income. If the payment is subject to withholding taxes, the company shall deduct such taxes from the payment, pay the member the net amount and concurrently provide the member with a certificate or any equivalent document of withholding tax.

Use of the Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of incentive is displayed in member dashboard.

Any claim of member under the Agreement must be notified to the company within ninety (90) days from the time the claim became known, or should have become known, to the member. For the avoidance of doubt, the company will not be liable for any claim made by member after said deadline

  1. Intellectual Property

Member does not gain any trademark, copyright or any other rights to all the promotion media such as banner, logo or specific collection promotion materials. The member will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing the company.

  1. Network

When the member sign-up is approved, member can invite others to become their downline friends or family members. To invite other new members into the system, share network link and any other member who click on that link and sign up will become a downline member.

If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts for incentive pay out.

Member might or might not be assigned to one coupon code with details and usage clarified on member dashboard. If customer both click on the member link and use coupon code, you will not receive a double commission.

If any downline friend or family member brings order to merchant’s online e-platform shopping, upline member will also get network referral incentive which depends on referral incentive structure in the Member Guide page.

  1. Tracking & Validation (Cookies)

We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.

If a person doesn’t allow cookies or clears their cookies then we can’t track them so can’t incentivize the member on that person’s activity.

Cookies day is mentioned in the Member Guide page. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in incentive to the member (There’s no need for the customer to click on the affiliate link then).

  1. Personal Data

Your personal data including your name, contact details and other personal details which you have provided to Astra Baby Sdn. Bhd.(1157465-U) under this program in this website (“Personal Data”) will be recorded, stored and otherwise processed by us for obtaining your feedback in relation to our goods and services, advertising, marketing, communication, conducting market surveys, trend analysis, processing your membership application or registration under our loyalty program and our other legitimate business purposes as stated in our Privacy Policy.

When we collect data, we indicate the mandatory fields via asterisks where such data is necessary for us to: – Perform our contract with you (e.g. to deliver the products you have purchase on our websites/apps); – Provide you with the service you have asked for (e.g. to provide you with a newsletter); or – Comply with legal requirements (e.g. invoicing). If you do not provide the data marked with an asterisk, this may affect our ability to provide the products and services to you. – Legitimate Interest, to help us better understand your needs and expectations and therefore improve and promote our services, products and the Brands.  – Legal grounds, to comply with the legal obligation to monitor undesirable effects of its products

Your Personal Data may be disclosed to our affiliates, service providers and relevant business partners such as logistic, public relations agencies, market research firms, marketing & advertising agencies as permitted by the Personal Data Protection Act 2010 and applicable data privacy laws.

By providing your Personal Data to us, you consent to the processing and transfer (if required) of your Personal Data by us.

  1. Confidentiality

Member may be entrusted with confidential data related to the activity of the Company, as well as with personal data of the downline member acquired by the given member. We authorize the member to review personal data of the customer such as registration date, username and value of the commission collected from the customer in a transaction on the website only to the extent necessary for the performance of the agreement concluded for participation in this program. Authorization to review personal data of the customers expires as soon as the member opts out from the program, and in the event of termination of cooperation between the company and the member.

The Company’s confidential data should be understood as any information which constitutes the Company’s business secret, in particular commercial information relating to business activity pursued by the Company, any data on the customer of the Website, including information on username, registration and amount of earnings, as well as technical, technological and organizational information concerning the Company’s enterprise, and other information related to the Website and the Company made available to the member in connection with participation in the program (hereinafter in this section referred to as Confidential Data).

Member undertakes to maintain the secrecy of Confidential Data, i.e. they will not record it on any media, or reproduce, distribute, transfer, disclose or make it available in any form to any third parties or persons without the prior written express consent of the company.

Member undertakes to use Confidential Data solely for activities associated with participation in the program.

Members are required to store all Confidential Data in such a way as to provide complete protection against its loss, distribution, unauthorized access or disclosure to third parties or persons, and in the case of its disclosure, distribution, reproduction, unauthorized access, they are required to notify the company to this effect immediately.

The obligation to maintain the secrecy of the Confidential Data referred to in this section shall be binding on the Member for an unlimited period of time, in particular it shall not expire as a result of the Member’s opting out from the Program, and the Member may not be released from this obligation except as expressly provided for in these Terms.

  1. Termination

If a member wishes to be removed from the affiliate program, they can do so by contacting astrafamily.co.

No further incentive from the company will be paid for any past or future member and member downline transactions.

Upon termination of program, any balance greater than Rm10 will be paid to the affiliate within 60 days of termination. Balances that are smaller than Rm10 will be forfeited.

If the member is on a recurring program, the company will not be obligated for any future payments after termination.

  1. General

We reserve the rights to modify any of the terms and conditions within this terms & conditions at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available incentives, incentives structures & schedules, payment procedures & schedules and member program rules. The member is responsible for reviewing notices, policies and the commission structure.

The member’s continued participation in the program following the changes taking effect will constitute the member’s acceptance of such changes and if the member does not agree to any changes, the member must discontinue its participation in the program and the membership will be terminated. For the avoidance of doubt, newer versions of the terms and conditions and to the incentive structure supersede older versions.
